# Limited License Agreement — Templates, Done-For-You Programs, Challenges & Design Bundles

## FIT CHICKS Academy™

You are purchasing one individual (no sharing) use, or one copy, of a FIT CHICKS Academy template, done-for-you program or challenge, or other design bundle (each, and collectively, "Product"), granting you access. We make no guarantee about unlimited ongoing access and reserve the right to add or remove content at any time.

By purchasing, accessing, or using any Product, you acknowledge that you have read, understood, and agree to be bound by this Agreement in full, including the acknowledgements in Section 1 below.

## 1. IMPORTANT ACKNOWLEDGEMENTS — PLEASE READ

By purchasing, accessing, or using any Product, you acknowledge and agree to the following:

### 1.1 Health & Wellness Education Company

**FIT CHICKS Academy is a health and wellness education company.** We are not a medical provider, hospital, clinic, or licensed healthcare practice.

This material is **not intended to diagnose, treat, cure, or prevent any disease, illness, or medical condition**, and nothing in it replaces the advice, diagnosis, or treatment of a qualified, licensed healthcare provider. Always consult a licensed physician or other qualified healthcare professional about any medical condition, symptom, or treatment decision.

### 1.2 Mental Health

**This material is not mental health care, therapy, or counseling.** Concerns that call for clinical support are for a qualified, licensed professional.

You agree to refer clients to appropriate licensed professionals when concerns fall outside your scope.

### 1.3 Medication

Where a Product relates to clients who use prescription medication (including GLP-1 and related medications), those medications are prescribed and overseen by a licensed provider. That responsibility belongs to them.

This material does not guide anyone on whether to begin, pause, switch, or adjust any medication, and no one using it should present themselves as doing so. Anyone supported with these materials should be working with their own licensed prescriber, and questions about medication, side effects, or symptoms belong with that provider.

You agree that you will not use any Product to recommend, direct, alter, or discourage any client's use of prescription medication.

### 1.4 Scope of Practice & Legal Compliance

**Follow the scope and the laws that apply to you where you practice.** What is permitted varies by state, province, and country, and staying within those rules is your responsibility.

FIT CHICKS Academy provides these materials for educational purposes and is not responsible for how they are applied.

By purchasing, you represent and warrant that:

- You are legally permitted to provide nutrition, health, and/or wellness coaching in your jurisdiction, or are pursuing education toward that end
- You understand and comply with the laws, regulations, and scope-of-practice requirements in your country, province/state, and region
- You are solely responsible for determining whether your services are legally permitted where you operate

## 2. INTELLECTUAL PROPERTY

Duplicating, sharing, or uploading a Product (or any part of a Product) or any published materials from our websites to sharing sites is considered stealing, and we reserve the right to take any and all legal action against such theft as we see fit to the full extent of the law.

The Product, including all related course material and any content, including from our websites, is protected by copyright, trademark, and other intellectual property laws, and as between you and us, is owned by LAJQ Chick Enterprises Inc. or its suppliers or licensors. The Product, related material, and content, including from our websites, is licensed to you solely for your individual use.

## 3. WHAT YOU MAY DO

What you are able to do with FIT CHICKS Academy templates, done-for-you programs, challenges, or bundles:

- Use the content with 1:1 clients, group coaching programs, online courses, retreats, webinars, and presentations
- Teach the content to as many people as you want (as a paid product, engagement tool, or lead generation tool)
- Use the content in your paid membership site for members' use, as a bonus to a paid product, or as a free lead magnet to grow your audience
- Include the content in ebooks and reports (sold with personal rights only)
- Use the content to create tools and training for your team and affiliates
- Edit the content with your testimonials, images, additional notes, etc.
- Put your own name, logo, and/or website on the resources
- Edit the text and/or add your own images
- Use the content for social media posts and blog posts
- Resell the content on your website only after rebranding (images of the FIT CHICKS Academy product, product mock-ups, or marketing materials used by FIT CHICKS Academy cannot be used in paid advertising or to promote)

## 4. WHAT YOU MAY NOT DO

What you cannot do with FIT CHICKS Academy done-for-you bundles:

- Sell, give away, resell, grant, or pass on private label resell rights or master resell rights using paid advertising
- Sell, give away, grant, resell, or pass on private label resell rights or master resell rights to the editable files, templates, or documents to anyone
- Add the content to White Label, PLR, Resell Rights, or Master Resell Rights membership sites or stores
- Add the content to free Internet Marketing membership sites, forums, or social media pages/groups
- Add the content to article directories without substantial rewriting
- Use the original creator's name or business name (FIT CHICKS Academy) on the content
- Use the content in a way that competes with the original creator's services or products
- Freely publish the entire content on the web except as noted above regarding social media and blog posts
- Share this content with anyone for use. It is a single-person license. If you know of others who would like to use this product, please direct them to our website or email info@fitchicks.ca

You may not use the Product or the materials available in the Product, related course material, or the content, including from our websites, in a manner that constitutes an infringement of our rights or that has not been authorized by us.

More specifically, unless explicitly authorized in this agreement or by the owner of the materials, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material from the Product, related course material, or the content, including from our websites, unless described in this agreement.

If you violate any of the foregoing license terms, your license will immediately terminate and you will cease all use of, and destroy any copies of, the licensed materials.

In addition, certain Products contain additional use and rights terms, which will be applicable to the product in which they are contained.

## 5. YOUR RESPONSIBILITY TO ADAPT MATERIALS TO YOUR JURISDICTION

Done-For-You materials are provided as **editable templates and starting points only.** They are not reviewed, drafted, or certified for compliance with the laws of any particular jurisdiction.

Before using, distributing, publishing, or selling any Done-For-You material, you are solely responsible for reviewing and adapting it to comply with the laws, regulations, and professional standards that apply to you where you practice. This includes, without limitation:

- **Scope-of-practice and licensing rules** governing what you may say, offer, or provide
- **Permitted and restricted language**, including titles, designations, and any wording that may imply medical, clinical, diagnostic, or therapeutic services
- **Advertising, marketing, and testimonial regulations**, including rules on claims, guarantees, endorsements, and disclosure requirements
- **Health, wellness, and nutrition claim restrictions**, including any prohibition on claims to treat, cure, prevent, or manage a disease or medical condition
- **Consumer protection, privacy, and data-handling laws** applicable to intake forms, assessments, and client records
- **Consent, disclaimer, waiver, and record-keeping requirements** for your practice
- **Any requirements specific to discussing prescription medication**, consistent with Sections 1.3 and 1.4 of this Agreement

Requirements vary significantly by country, province, state, and profession, and they change over time. What is permitted for one coach may not be permitted for another.

**FIT CHICKS Academy makes no representation or warranty that these materials are compliant, appropriate, or lawful in your jurisdiction, and accepts no responsibility or liability for how you adapt, brand, publish, distribute, or apply them.** You are strongly encouraged to seek independent legal and professional advice regarding your own compliance obligations.

Any modifications you make are made at your own risk and remain your sole responsibility, including any claims, penalties, or liabilities arising from them.

## 6. FEEDBACK

You agree that you will notify us of any feedback or suggestions relating to the Products, service, content, and related materials; and you hereby grant to LAJQ Chick Enterprises Inc. a nonexclusive, irrevocable, worldwide, perpetual, unlimited, assignable, sub-licenseable, fully paid-up, and royalty-free right to copy, prepare derivative works of, improve, distribute, publish, remove, retain, add, process, analyze, use, and commercialize, in any way now known or in the future discovered, any information you provide, directly or indirectly, to us, including all feedback or suggestions.

You promise and warrant to only provide us information and content that you have the right to give us, and you will indemnify us in respect of any claims and/or actions if this is not true.

All rights not expressly granted under this agreement are reserved by us and our licensors and suppliers.

## 7. LIMITATION OF LIABILITY & RELEASE

To the fullest extent permitted by law, you agree that LAJQ Chick Enterprises Inc. / FIT CHICKS Academy is not responsible for client outcomes, client decisions, health results, weight loss results, medication-related outcomes, or business or revenue outcomes.

You assume full responsibility for how these materials are applied with your clients, and you release, indemnify, and hold harmless LAJQ Chick Enterprises Inc. / FIT CHICKS Academy from any claims, damages, losses, or liabilities arising from your coaching services, your client interactions, or your application of these materials.

## 8. REFUND POLICY

There is a **7-day refund window** from the date and time of purchase. To obtain a refund, please email info@fitchicks.ca within the timeframe. **No refunds will be issued after this time.**

## 9. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of **Ontario, Canada**, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to this Agreement or the Products shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

## 10. ACCEPTANCE

By purchasing, accessing, or using any FIT CHICKS Academy Product or any associated materials, you confirm that you are **18 years of age or older** and that you have read, understood, and agreed to this Agreement in full.
